Nuki USA, LLC Acquires Waveguard GmbH Intellectual Property and Business Assets

Utah — April 16, 2024 — Nuki USA, LLC (“Nuki USA”) today announced the acquisition of substantially all of the intellectual property and certain business assets associated with Waveguard GmbH (“Waveguard”), the German company known for its development and commercialization of Waveguard technology and products.
The transaction provides Nuki USA with ownership of the acquired Waveguard intellectual property and assets, including applicable patents and patent rights, trademarks, trade names, logos, copyrights, proprietary technology, know-how, trade secrets, product designs, research and technical studies, domain names, websites, social media accounts and pages, digital marketing assets, and other intellectual property and business assets associated with the Waveguard brand and product portfolio.
Waveguard GmbH remains an existing legal entity following the transaction. The transaction was an acquisition of intellectual property and business assets by Nuki USA and did not constitute an acquisition of Waveguard GmbH itself.
Continuing the Waveguard Brand and Technology
The acquisition marks a new chapter for Waveguard technology and products. Nuki USA intends to build upon the intellectual property and technological foundation developed by Waveguard while continuing to support the Waveguard brand, its customers, and its partners.
As part of the transaction, Nuki USA acquired the rights and assets necessary to continue the development, commercialization, marketing, and distribution of Waveguard products and technology.
The acquired assets include, among other things:
- Patents, patent applications, and associated intellectual property rights
- Trademarks and trade names
- Waveguard logos and brand assets
- Copyrights and creative works
- Proprietary technology, know-how, and trade secrets
- Product designs and technical documentation
- Research, studies, and related technical materials
- Websites and domain names
- Facebook pages and other social media accounts and properties
- Digital marketing, advertising, and promotional assets
- Product photography, graphics, videos, and other media
- Licensing and commercialization rights
- Other intellectual property and business assets associated with the Waveguard brand and technology
A New Chapter for Waveguard
Nuki USA is committed to preserving and advancing the value of the Waveguard brand and technology while bringing additional resources and capabilities to its continued development.
The acquisition enables Nuki USA to manage and develop the acquired Waveguard intellectual property and assets as part of its ongoing business operations.
What This Means for Customers and Partners
Customers and business partners can expect continued support for Waveguard products and technology under Nuki USA's ownership of the acquired assets.
Nuki USA will continue to provide information regarding products, availability, customer support, warranty services, and future product developments through the appropriate Waveguard and Nuki USA channels.
Existing Waveguard customers and partners do not need to take any action as a result of the transaction unless otherwise communicated directly by Nuki USA or Waveguard.
